1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at capturelabs.us (the "Site") and any services described on it, offered by Capture Labs LLC ("Capture Labs," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

2. Description of Services

Capture Labs is a data licensing brokerage. We help organizations ("Sellers") identify, prepare, and license data assets they lawfully control to organizations that seek to acquire licensed rights to use such data ("Buyers"), including for purposes such as model training, fine-tuning, retrieval, and analytics. Our services may include data asset review, rights and privacy clearance review, de-identification guidance, buyer sourcing, negotiation support, and transaction coordination.

The Site describes our intended services and general process. It is informational and does not itself constitute an offer to license any specific dataset. Any actual engagement, data review, or data licensing transaction is governed by a separate written agreement between Capture Labs and the relevant party (which may include a non-disclosure agreement, an engagement letter, a data processing agreement, and/or a data license agreement).

3. No Guarantee of Outcome

We do not guarantee that any dataset can be lawfully licensed, that a buyer will be found, that any transaction will close, or that any particular value will be realized. Where we determine that a dataset cannot be licensed in compliance with applicable law or a Seller's own commitments to its users, we will decline to bring that dataset to market.

4. Eligibility

You must be at least 18 years old and have the authority to bind the organization on whose behalf you are acting to use the Site or engage our services in a business capacity.

5. Seller and Buyer Responsibilities

• Sellers are solely responsible for the accuracy of representations they make about their data, including their legal right to license it, and for compliance with their own obligations to end users, customers, and counterparties (including their own terms of service and privacy policy).
• Buyers are solely responsible for their use of any licensed data in accordance with the applicable license agreement, and for their own compliance with applicable law.
• Capture Labs performs a review process intended to identify rights, privacy, and quality issues, but this review does not substitute for independent legal advice, and does not shift legal responsibility for a party's own data or its own compliance obligations.

6. Confidentiality

Information shared with Capture Labs in connection with a prospective or actual engagement is treated as confidential in accordance with the terms of any applicable non-disclosure agreement between the parties. Absent a specific confidentiality obligation, do not send us information you consider confidential through unsecured channels such as ordinary email.

7. Fees

Fee arrangements (including any success-based commission) are agreed with each Seller in writing before that Seller's data is brought to market. No fee arrangement is created by merely visiting or using the Site.

8. Intellectual Property

The Site, including its text, graphics, logos, and design, is owned by Capture Labs LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from the Site without our prior written consent, except as necessary to view it for your own personal or internal business reference.

9. Third-Party Links

The Site may reference or link to third-party websites, including current or prospective partners. We do not control and are not responsible for the content, policies, or practices of any third-party site.

10. Disclaimers

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing on the Site constitutes legal, financial, or tax advice.

11. Limitation of Liability

To the fullest extent permitted by law, Capture Labs LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or relating to your use of the Site, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages. Our total liability arising out of or relating to the Site will not exceed [amount to be specified].

12. Indemnification

You agree to indemnify and hold harmless Capture Labs LLC, its members, officers, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your violation of any law or third-party right.
